  1. END USER LICENSE AGREEMENT
  2.  
  3. IMPORTANT -- READ CAREFULLY BEFORE ACCEPTING THIS AGREEMENT:  
  4.  
  5. These terms and conditions constitute a legally binding agreement 
  6. between Safari Casino N.V. ("the Licensor") and you, the user.  If you have any questions, we encourage you to 
  7. seek independent counsel prior to clicking on the "YES" button.  
  8. By clicking on "YES" you accept and agree to all of the terms and
  9. conditions of this agreement.

  11.  
  12. 1. GRANT OF LICENSE. The Licensor has been granted a license by 
  13. Intertainet Overseas Licensing Limited permitting it, among other
  14. things, to sub-license and distribute the software (the "Software") 
  15. which enables you to use the Internet gaming service (the "Casino") 
  16. to which the Software relates.  The Licensor hereby grants you a 
  17. personal, non-exclusive, non-transferable sub-license to use the 
  18. Software to play the Casino.
  19.  
  20.  
  21. 2. USER'S REPRESENTATIONS AND WARRANTIES AND COVENANTS. 
  22. a) You represent and warrant that you are 18 years of age or older 
  23. and of legal age in the jurisdiction in which you reside. For those 
  24. under the legal age limit, or in jurisdictions where Internet gaming 
  25. is prohibited, the Licensor has provided a version of the Casino that 
  26. can be played for fun or practice, and not for real money, offline.  
  27. If you are under the legal age limit or live in a jurisdiction where 
  28. Internet gaming is prohibited, you agree that you will only play the 
  29. Casino using the offline version.
  30.  
  31. b) You are solely responsible for supplying your own equipment 
  32. (which may include a personal computer system, telephone, telephone 
  33. lines and modem), Internet communications software and 
  34. operating system software which conforms with the Licensor's standards 
  35. for use with the Software, and for maintaining the equipment in good 
  36. working order, all at your own expense.  You will only copy and use 
  37. the Software on a machine at which you are the primary user.  You 
  38. represent and warrant that you possess the necessary skills to 
  39. operate the equipment and software.  The Licensor will not provide 
  40. support or assistance relating to any hardware or any software other 
  41. than the Software which enables you to use the Casino.
  42.  
  43. c) You are solely responsible for all use of the Casino through your 
  44. user name, password and/or personal information number, whether 
  45. authorized or not. You will not permit others, including but not 
  46. limited to persons under the age of 18 and/or under the legal age 
  47. limit, to use the Casino through your user name, password, and/or 
  48. personal identification number.

  50. d) You are responsible for the security of your user name, password 
  51. and personal identification number.
  52.  
  53. e) You will be solely liable for any losses, damages, costs or 
  54. expenses from the use of your user name, password and personal 
  55. identification number by others, whether authorized or not. 
  56.  
  57. f) You will not copy, or otherwise distribute the Software, and 
  58. you will not assign or otherwise transfer the sub-license to use 
  59. the Software which is granted to you by this agreement, or rent 
  60. or lease any portion of the Software, and you will be solely 
  61. liable for any damages, costs or expenses arising from 
  62. unauthorized copying, assignment, distribution, renting or leasing.

  64. g) You will not reverse engineer, decompile, disassemble, modify, 
  65. translate, make any attempt to discover the source code of the 
  66. Software, or create derivative works based on the Software, and 
  67. you will be solely liable for any damages, costs or expenses 
  68. arising from the foregoing.  If the Licensor finds any evidence 
  69. or has any suspicion that you have tampered with the Software, 
  70. in addition to any other remedies available to it, the Licensor 
  71. may withhold payment of your winnings.
  72.  
  73. h) You will use the Casino only for your own personal entertainment, 
  74. and not for any business or commercial purpose. 
  75.  
  76. i) You accept and agree to abide by both the terms and conditions of
  77. this agreement, as amended time to time, and the rules of the Casino 
  78. games.  You may find information regarding the rules at 
  79. www.safari-casino.com\help.
  80.  
  81. j) You accept and agree to be bound by all bets placed over the 
  82. Internet in connection with the use of the Casino, whether by you 
  83. or by anyone else using your user name and password, whether 
  84. authorized or not.
  85.  
  86. k) The Licensor uses a random number generator software program, 
  87. and you acknowledge and accept that its determination of the 
  88. random numbers of the Casino games you play will be conclusive.
  89.  
  90. l) You acknowledge that if any statement made or information 
  91. provided by you to the Licensor is untrue or any representations 
  92. and/or warranties made by you in this agreement are untrue, whether 
  93. now or at any time that you place a bet, this agreement will be void, 
  94. and you will be liable to the Licensor for any damages and/or costs 
  95. suffered as a result.

  98. 3. LEGALITY. The Casino's games are played over the Internet 
  99. which reaches virtually every country in the world.  Some 
  100. jurisdictions have not addressed the legality of your use of 
  101. the Software, while some have specifically made 
  102. Internet gaming illegal. It is impossible for the Licensor 
  103. to determine the state of the law in every jurisdiction 
  104. around the world on an ongoing basis.  Therefore, you accept 
  105. sole responsibility for determining  the laws that apply in 
  106. your jurisdiction and for the actions you take whether you 
  107. have or have not made a determination as to the legality of 
  108. Internet gaming in your jurisdiction. The Licensor makes no 
  109. representation or warranty, express or implied, as to the 
  110. legality in your jurisdiction of your use of the Software.

  113. 4. GOVERNMENTAL DISCLOSURE AND TAXATION. 
  114.  
  115. A) While the Licensor generally does not provide details of 
  116. your net winnings or losses to anyone 
  117. (whether taxation authorities or otherwise), it reserves 
  118. the right to release the information requested by any 
  119. governmental agency, regulatory body or court of law, 
  120. whether pursuant to a court order or otherwise. 
  121.  
  122. B) In some jurisdictions proceeds from gaming are tax free, 
  123. while in others such proceeds are taxable. If the winnings 
  124. are taxable in your jurisdiction, you are solely responsible 
  125. to keep track and report your winnings to the appropriate 
  126. authorities.
  127.  
  128. 5. NO WARRANTIES.  THE CASINO IS PROVIDED TO YOU "AS IS", WITHOUT 
  129. WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING,  
  130. BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, 
  131. SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR 
  132. NON-INFRINGEMENT.  THE LICENSOR DOES NOT WARRANT THE 
  133. FUNCTIONS CONTAINED IN THE PROGRAM WILL MEET YOUR REQUIREMENTS, 
  134. NOR THAT ITS OPERATION WILL BE UNINTERRUPTED AND ERROR FREE.  
  135. THE ENTIRE RISK AS TO THE USE, QUALITY AND PERFORMANCE OF THE 
  136. PROGRAM LIES WITH YOU, THE USER. SHOULD THE PROGRAM PROVE 
  137. DEFECTIVE, YOU (AND NOT THE LICENSOR) ASSUME THE ENTIRE 
  138. COST OF ANY NECESSARY REPAIR OR OTHER LOSS.

  141. 6. LIMITED LIABILITY.  TO THE EXTENT NOT PROHIBITED BY ANY 
  142. APPLICABLE LAW, THE LICENSOR'S TOTAL LIABILITY TO YOU OR ANY 
  143. THIRD PARTY FOR CLAIMS RELATING TO THIS AGREEMENT OR YOUR USE 
  144. OF THE CASINO, WHETHER FOR BREACH OR IN TORT, WILL BE LIMITED 
  145. TO THE AMOUNT, IF ANY, YOU PAID FOR THE SOFTWARE OR TO ACCESS 
  146. THE CASINO.  IN NO EVENT WILL THE LICENSOR BE LIABLE FOR ANY 
  147. INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL OR CONSEQUENTIAL 
  148. DAMAGES IN CONNECTION WITH OR ARISING OUT OF THIS AGREEMENT 
  149. OR YOUR USE OF THE CASINO (INCLUDING LOSS OF REVENUE, PROFITS, 
  150. USE, DATA OR OTHER ECONOMIC ADVANTAGE), HOWEVER IT ARISES, 
  151. WHETHER FOR BREACH OR IN TORT, EVEN IF THE LICENSOR HAS 
  152. BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

  155. 7. INDEMNITY.  You indemnify and hold harmless the Licensor, its 
  156. licensor, Intertainet Overseas Licensing Limited, its and their 
  157. respective licensees, distributors, parent, subsidiaries, affiliates 
  158. and all of their officers and directors, advertising, promotion or 
  159. other agencies, media partners and others from any suit, demand, 
  160. cause of action, claim, liability, costs, expenses 
  161. (including reasonable legal fees), liabilities, damages, fines, 
  162. penalties, fees or any other charges whatsoever that may arise as a 
  163. result of your use of the Software or the Casino or breach of this 
  164. agreement, whether through negligence or otherwise.

  167. 8. INFORMATION TRANSMITTED OVER THE INTERNET.  The Licensor, 
  168. its and their respective licensees, distributors, parent, 
  169. subsidiaries, affiliates and all of their officers and directors 
  170. will not be liable for any damages which may be caused by the 
  171. interception or misuse of any information transmitted over 
  172. the Internet.

  175. 9. COPYRIGHT.  Title, ownership and all intellectual property rights in 
  176. the Software remain with the original licensor, 
  177. Intertainet Overseas Licensing Limited, including images, photographs, 
  178. animations, video, audio, music and text which may be part of the Software.  
  179. You acknowledge that the Software in source code form is a confidential 
  180. trade secret of Intertainet Overseas Licensing Limited.  The content of 
  181. the Software is protected as a collected work under applicable copyright laws.  
  182. The copying, redistribution or publication of any of the content or part of 
  183. the Software is strictly prohibited.  Title, ownership and all intellectual 
  184. property rights in the name "Safari Casino" remain with the Licensor or 
  185. Intertainet Overseas Licensing Limited, as the case may be.

  188. 10. PERSONAL ACCOUNT.  As a condition of entering into this agreement, 
  189. you must open an electronic cash account with CryptoLogic Inc. 
  190. (an "Ecash account"). You must not place bets of amounts greater than 
  191. the balance in your Ecash account. Any Ecash winnings will be placed 
  192. back into your Ecash account. By using the Casino and placing bets, 
  193. you authorize the Licensor to deal with CryptoLogic Inc. to relay 
  194. Ecash deposit and withdrawal instructions on your behalf.  The Licensor 
  195. reserves the right to instruct CryptoLogic Inc. to refuse any application 
  196. for an Ecash account or to close any existing Ecash account at any time 
  197. for any reason. In the event that the Licensor elects to instruct 
  198. CryptoLogic Inc. to close your Ecash account, the balance subject to 
  199. any amounts in dispute will be paid out to you.

  201. 11. The Licensor reserves the right to refuse or limit any wager.
  202.  
  203.  
  204. 12. GAMING SERVICE.  The Licensor will provide casino games, such as 
  205. blackjack, Caribbean Poker, Roulette, Craps, Baccarat, Slot Machines, 
  206. Video Poker, Video Keno, Pai Gow Poker, Let It Ride Poker, Red Dog, 
  207. and may provide other services.
  208.  
  209. (a) The casino games will be operated and played in accordance with 
  210. the rules of the New Jersey Casino Control Commission as applicable.
  211.  
  212. (c) The Licensor may, in its absolute discretion, alter or amend or 
  213. withdraw any game from the Casino or the sports book or any part 
  214. thereof, at any time and, as well, may alter prices, features, 
  215. specifications, capabilities, functions or other characteristics of 
  216. the Casino, or the casino games.
  217.  
  218. (d) The Licensor reserves the right to terminate your access to the 
  219. Casino at any time, for any reason.
  220.  
  221.  
  222. 13. GAMING RESULTS.  If there is any discrepancy between the gaming 
  223. results on your computer and the results on the game server, the 
  224. results on the server shall be final and binding.                
  225.  
  226.  
  227. 14. NO LIABILITY FOR ERRORS.  In the event that the gaming computer 
  228. hardware or the gaming server does not properly implement the rules 
  229. of a casino game (or sports book, if offered), or does not properly 
  230. implement the random number generator, or does not make proper account 
  231. for the play that has occurred or if a human error is made by the 
  232. Licensor, any of its suppliers, or anyone else involved in creating, 
  233. producing or delivering the Casino, the Licensor will not be liable 
  234. for any winnings that result.  You will forfeit any winnings which 
  235. result from any error whatsoever, whether caused by computer or 
  236. human error, a bug in the system, or otherwise.

  239. 15. DISPUTES.  In the event of any dispute regarding a wager or 
  240. winnings, the decision of the Licensor shall be final and binding.
  241.  
  242.  
  243. 16. CHANGES TO THIS AGREEMENT AND TO THE CASINO OR CASINO GAMES.  
  244. The Licensor may modify, restate or amend the terms and conditions 
  245. of this agreement, or change or modify the Casino or casino games, 
  246. or modify, restate or amend the rules to the casino games, from time 
  247. to time by posting for no less than fourteen (14) days prior to the 
  248. effective date of  any change a copy of the change, modification, 
  249. restatement or amendment:  (i) in the "user message" that pops up 
  250. on your screen from time to time when you log on to use the Casino, 
  251. (ii) on the "read me text" notice  which pops up on your screen when 
  252. you download and install the Software, and (iii) on the Casino's 
  253. Internet home page at www.safari-casino.com.  A copy of this agreement, 
  254. as updated from time to time, is available for your review at any time 
  255. on the Casino's Internet web site at www.safari-casino.com.  
  256. If you commence or continue to use the Casino after the effective date 
  257. of the modification, restatement or amendment to the terms and 
  258. conditions of this agreement, or of the change or modification to the 
  259. Casino, or modification, restatement or amendment to the rules of the 
  260. casino games, you will be deemed to have accepted the change whether 
  261. or not you have chosen to read the user message, read me text and/or 
  262. website notice.

  264. 17. If you are playing the offline version, you will be deemed to 
  265. have accepted any change to the terms and conditions of this agreement 
  266. if you continue to play the Casino after the effective date of change 
  267. as posted on the Casino's Internet home page at www.safari-casino.com.
  268.  
  269. 18. TERMINATION.  The Licensor may, in its absolute discretion, terminate 
  270. this agreement and revoke the sub-license granted by this agreement, 
  271. without prior notice.

  273. 19. GOVERNING LAWS.  This agreement shall be governed by and interpreted 
  274. in accordance with the laws of the jurisdiction which has issued the gaming 
  275. license pursuant to which the Casino is operated. You agree to submit to 
  276. the exclusive jurisdiction of its courts. 
  277.  
  278. 20. ENTIRE AGREEMENT.  This document constitutes the entire agreement 
  279. between you and the Licensor and supersedes any prior understandings, 
  280. agreements or commitments, whether written or oral. No employee, 
  281. officer or agent of the Licensor, or anyone else involved in creating, 
  282. producing or delivering the Casino, may verbally alter, 
  283. modify or waive any provision of this agreement.

  286. 21. GOVERNING LANGUAGE. The original text of this agreement is in 
  287. English and any interpretation of this agreement will be based on 
  288. the original English text.  If this agreement or any documents or 
  289. notices related to it are translated into any other language, 
  290. the original English version will prevail.
